NEARBYGRID AFFILIATE PROGRAM TERMS AND CONDITIONS

1. OVERVIEW
The NearbyGrid Affiliate Program lets eligible NearbyGrid members earn NearbyGrid Points by referring new members who subscribe to a paid plan. By enrolling you agree to these Terms and Conditions and to the NearbyGrid Terms of Service and Privacy Policy. NearbyGrid may update, suspend, or end the program at any time.

2. ELIGIBILITY
Enrollment is open to NearbyGrid members who are 18 years of age or older and who reside in the United States. You must have a NearbyGrid account in good standing. NearbyGrid may decline or revoke enrollment at its discretion.

3. PROGRAM START AND ATTRIBUTION
The program begins on September 1, 2026, 12:00 AM Eastern Time. You may enroll and create affiliate links before that date, but no referral or signup is credited until the start date. Only new member signups completed on or after September 1, 2026 through your affiliate link or with your affiliate code count toward Points. Signups before the start date earn no Points and are not credited later.

Attribution requires that the new member is connected to your account at signup. Affiliate links work best for web signups. Signups made inside the mobile apps do not carry your affiliate link, so the person you refer must enter your affiliate code during signup. If your code or link is not applied at signup, the referral will not count.

4. HOW YOU EARN POINTS
a. Welcome bonus. You receive 500 NearbyGrid Points one time when you join the program.
b. Subscription Points. You currently receive 300 NearbyGrid Points for each full, uninterrupted, store backed paid month that a referred member keeps a Plus or Unlimited subscription. Points are awarded after each qualifying full month is completed. A refunded, charged back, canceled, or lapsed month does not qualify, and Points awarded for a month that is later reversed may be removed.

c. Points values are subject to change. The number of Points awarded per qualifying month, the welcome bonus, the qualifying plans, and the redemption values are set by NearbyGrid and may change at any time, at NearbyGrid's sole discretion and without notice. Changes may apply to future accruals for existing and past referrals as well as new ones. For example, NearbyGrid may reduce the per month award from 300 Points to a lower amount, or change redemption thresholds, in response to plan price changes, app store fees, or other business factors. Points already redeemed are not affected, but any unredeemed balance and all future accruals are subject to the values in effect at the time.

Points are not awarded for clicks, app installs, free accounts, or activity alone. Self referrals, referrals of accounts you control, and any fraudulent, misleading, or automated activity are prohibited and will void Points and may end your enrollment.

5. POINTS AND REDEMPTION
NearbyGrid Points have no cash value except through the official redemption program. Redemption for cash or gift cards becomes available once your balance reaches a minimum of 2,500 Points. Redemption opens after the program launches. Redemption options, minimums, timing, and eligibility are defined at redemption launch and may change. Points are personal to your account, are not transferable, and may expire or be adjusted as described in these Terms.

6. MARKETING, REPRESENTATIONS, AND DISCLOSURE
The Affiliate Program is open to any eligible member who is 18 or older and lives in the United States. Being an affiliate does not make you a partner, agent, employee, representative, sponsor, or official spokesperson of NearbyGrid, and it does not mean NearbyGrid endorses you or your content. You may not state or imply otherwise. You may describe yourself only as a member of the NearbyGrid Affiliate Program.

You may not promote your link or code through spam, unsolicited messages that violate law, misleading or false claims, impersonation of NearbyGrid or its staff, adult or illegal content that violates NearbyGrid policy, or paid advertising that bids on NearbyGrid trademarks or that could confuse people about who is advertising.

When you share your affiliate link or code you are responsible for making any disclosure required by law, including disclosing that you may earn a reward if someone joins and subscribes through your link or code.

7. TAXES
You are responsible for any taxes that apply to Points you redeem. NearbyGrid may require tax information before redemption and may report redemptions as required by law.

8. CHANGES AND TERMINATION
NearbyGrid may change these Terms, the Points values, the qualifying plans, the redemption program, or the program itself at any time. Material changes take effect when posted or on the date stated. If you do not agree to a change, stop using the program. NearbyGrid may suspend or terminate your enrollment for any violation of these Terms.

If your NearbyGrid account is suspended or banned, or your enrollment is terminated for violating these Terms or the NearbyGrid Terms of Service, you forfeit all unredeemed Points and any pending awards, your affiliate links and code stop earning, and you may not rejoin the program without NearbyGrid's permission.

9. GENERAL
These Terms are governed by the laws of the United States and the state in which NearbyGrid operates, without regard to conflict of law rules. If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and NearbyGrid regarding the Affiliate Program.
