1. OVERVIEW

The NearbyGrid Affiliate Program lets eligible NearbyGrid members earn NearbyGrid Points only after a referred new member becomes a real-money paid Plus or Unlimited subscriber and completes a verified paid App Store or Google Play month. Merely signing up or having Plus or Unlimited access does not earn referral Points. By enrolling you agree to these Terms and Conditions and to the NearbyGrid Terms of Service and Privacy Policy. NearbyGrid may update, suspend, or end the program at any time.

2. ELIGIBILITY

Enrollment is open to NearbyGrid members who are 18 years of age or older and who reside in the United States. You must have a NearbyGrid account in good standing. NearbyGrid may decline or revoke enrollment at its discretion.

3. ATTRIBUTION — AT SIGNUP ONLY

A referral counts only when the new member is connected to your account at the moment they sign up. There are two ways that happens:

a. Your affiliate link. When someone opens your affiliate link and then signs up, the referral is applied automatically, on the web or in the mobile apps.

b. Your affiliate code. If someone signs up without your link, they can enter your affiliate code in the code field shown during signup. If a recent visit through your link is detected, the code may be pre-filled for them; they can confirm or change it before finishing.

Attribution cannot be added after signup. There is no way to attach a code to an account that already exists, no matter how recently it was created. If your code or link is not applied at signup, the referral does not count, and NearbyGrid cannot add it manually.

4. HOW YOU EARN POINTS AND THE UNLIMITED PERK

a. Enrollment bonus. You receive 500 NearbyGrid Points one time when you enroll in the program. This is an enrollment bonus only; it is not a referral or subscription award.

b. Subscription Points. You currently receive 300 NearbyGrid Points only after a new member you referred becomes a real-money paid Plus or Unlimited subscriber and completes each full, uninterrupted paid month through the Apple App Store or Google Play. Points are awarded after each verified qualifying paid month is completed. Canceling future renewal does not disqualify verified store-paid coverage that remains active through a full month. A refunded, charged back, revoked, interrupted, or lapsed month does not qualify, and Points awarded for a month that is later reversed may be removed.

c. PAID SUBSCRIPTIONS ONLY. Points accrue only for subscriptions actually purchased through the Apple App Store or Google Play and verified by the store. Plans that NearbyGrid grants for free — including promotional plans, launch or founding-member perks, courtesy or support grants, testing accounts, and any other complimentary Plus or Unlimited access — NEVER earn Points, even though the member's account shows Plus or Unlimited. If a member you referred has a free granted plan and later purchases a paid subscription, only the paid months count, starting from the first fully paid month.

d. Points values are subject to change. The number of Points awarded per qualifying month, the enrollment bonus, the qualifying plans, and the redemption values are set by NearbyGrid and may change at any time, at NearbyGrid's sole discretion. Changes apply prospectively from the time they take effect, to future accruals for new, existing, and past referrals alike. Points already credited to your balance are not retroactively reduced, except to correct fraud, payment reversals such as refunds or chargebacks, duplicate awards, or clear errors.

e. Free Unlimited perk at 15 current paid referrals. While 15 or more distinct new members you referred each become and remain verified current real-money paid Apple App Store or Google Play Plus or Unlimited subscribers, NearbyGrid grants your account Unlimited at no charge. NearbyGrid applies the promotional grant automatically within 48 hours after your verified count reaches 15 and removes it automatically within 48 hours after your verified count falls below 15. Each referred member counts at most once. Free, granted, founding, promotional, organizer, Affiliate-perk, courtesy, admin, staff, test, sandbox, trial, family-share non-purchaser, zero-price, refunded, reversed, revoked, charged-back, inactive, banned, deleted, detached, unresolved-transfer, or other nonqualifying access does not count.

The current-paid-referral count and referral Points are separate. Current verified store-paid coverage may count toward the Unlimited perk before a full paid month is complete. Points post only after a qualifying full paid month is completed and may later be deducted for a refund, reversal, revocation, or chargeback. The Affiliate Unlimited grant is a free promotional benefit, is not a paid subscription, creates no store purchase, and never earns referral Points for anyone.

The Affiliate Unlimited grant does not cancel, pause, refund, replace, or otherwise change a subscription you separately purchased through the Apple App Store or Google Play. Your store subscription remains controlled and billed by the store unless you manage it there. When the promotional grant is absent, NearbyGrid uses the current underlying store-backed or other valid plan state for your account. NearbyGrid may change or end this perk prospectively under Section 4(d).

Points are not awarded for clicks, app installs, free accounts, granted plans, or activity alone. Self referrals, referrals of accounts you control, and any fraudulent, misleading, or automated activity are prohibited and will void Points and may end your enrollment.

5. POINTS AND REDEMPTION

NearbyGrid Points are promotional awards issued under a loyalty and promotional program; you exchange no money or other monetary value to receive them. NearbyGrid Points have no cash value until they are redeemed under this Section.

REDEMPTION IS OPEN as of September 1, 2026. You may request redemption of eligible Points by emailing [email protected]. Redemption is currently fulfilled MANUALLY by NearbyGrid. A self-serve gift-card and PayPal request flow on NearbyGrid.com is planned and is not available yet. Sending an email request does not itself transfer Points or complete a redemption.

Current thresholds (may change prospectively under Section 4(d)):

a. Gift cards from 2,500 Points, currently valued at $25.

b. Cash via PayPal from 10,000 Points, currently valued at $100.

NearbyGrid may verify eligibility, identity, program standing, and tax information before fulfilling a request. NearbyGrid aims to review complete, eligible requests within 10 business days; that is a handling target, not a guarantee. NearbyGrid may decline, delay, or adjust a request for fraud, reversed store payments, duplicate awards, ineligibility, missing tax information, or other good-faith program-integrity reasons.

A completed redemption is recorded in your Points ledger. The same approved request cannot spend the same Points twice. NearbyGrid may reverse or claw back a fulfillment if the underlying Points are later reversed (refund, chargeback, fraud, duplicate award, or clear error).

Points are personal to your account, are not transferable, and are forfeited on ban or termination as described in Section 11. Unredeemed Points have no cash value. Values and thresholds may change prospectively.

See Section 9 for tax information. NearbyGrid may require a completed IRS Form W-9 (or other tax form) before fulfilling a redemption and may issue a Form 1099 where redemptions meet reporting thresholds. Redemptions may be withheld until required tax information is provided.

6. MARKETING, REPRESENTATIONS, AND DISCLOSURE

The Affiliate Program is open to any eligible member who is 18 or older and lives in the United States. Being an affiliate does not make you a partner, agent, employee, representative, sponsor, or official spokesperson of NearbyGrid, and it does not mean NearbyGrid endorses you or your content. You may not state or imply otherwise. You may describe yourself only as a member of the NearbyGrid Affiliate Program.

You may not promote your link or code through spam, unsolicited messages that violate law, misleading or false claims, impersonation of NearbyGrid or its staff, adult or illegal content that violates NearbyGrid policy, or paid advertising that bids on NearbyGrid trademarks or that could confuse people about who is advertising. You may not promise anyone rewards, benefits, features, or terms that NearbyGrid does not actually offer.

The Affiliate Program is a promotional rewards program, not an income opportunity, employment, or business opportunity. You may not present it as one, and NearbyGrid makes no promise that you will earn any particular amount of Points or any redemption value.

When you share your affiliate link or code you are responsible for making any disclosure required by law, including a clear and conspicuous disclosure near your recommendation that you may earn a reward only if a new member signs up through your link or code, becomes a real-money paid Plus or Unlimited subscriber, and completes a verified paid App Store or Google Play month. NearbyGrid's copy buttons copy the link only and do not add a disclosure to your message or post. You must add the disclosure yourself when the law or context requires it.

7. AFFILIATE EMAIL UPDATES (OPTIONAL)

During sign-up you may optionally check a box to receive affiliate program news, tips, and updates by email. This is entirely optional: enrollment does not require it, and leaving it unchecked has no effect on your Points or your participation. You can unsubscribe at any time using the link in any such email, and unsubscribing does not affect your enrollment or Points.

8. AFFILIATE ATTRIBUTION AND PROGRAM DATA

When a person opens an affiliate link, NearbyGrid may store a first-party referral-attribution cookie in the web browser, or an encrypted referral credential in the mobile app, for up to 30 days. Before a new account is created, NearbyGrid may show the saved affiliate code so the person can keep it, change it, or remove it. The saved referral is used only if that person creates a new NearbyGrid account while it remains valid. It cannot be attached to an existing account.

NearbyGrid processes the affiliate code or link, referral and signup records, store subscription and payment-status events, Points ledger entries, program eligibility and fraud-review records, your aggregate current-paid-referral count and Affiliate Unlimited benefit state, and your optional affiliate-email preference to operate, secure, audit, and enforce the program. NearbyGrid does not show affiliates the identity, email address, payment details, or private activity of referred members. Store purchase status is used to determine the aggregate current-paid-referral count, decide whether a paid subscription month qualifies, apply or remove the Affiliate Unlimited benefit, and reverse Points after refunds, chargebacks, revocations, or other payment corrections. Affiliate records may be retained as reasonably necessary for accounting, fraud prevention, dispute handling, legal compliance, and enforcement even after an account or program enrollment ends. 9. TAXES

You are responsible for any taxes that apply to Points you redeem. Before redeeming, NearbyGrid may require tax information (such as a completed IRS Form W-9 for U.S. persons), and NearbyGrid may report redemptions to tax authorities as required by law, including issuing a Form 1099 where redemptions meet reporting thresholds. Redemptions may be withheld until required tax information is provided.

10. VOLUNTARY WITHDRAWAL AND REJOIN

You may voluntarily withdraw from the Affiliate Program at any time. Withdrawal ends new Affiliate links, prospective Points, Affiliate email updates, and any going-forward Affiliate Unlimited perk. Withdrawal does not delete your Points ledger history or counted referrals.

You may rejoin after a voluntary withdrawal by confirming the current Terms:

a. If you rejoin less than 30 days after withdrawal, your spendable Points balance and counted referrals remain.

b. If you rejoin 30 days or more after withdrawal, NearbyGrid records a zeroing adjustment that reduces spendable Points to zero. Ledger history and counted referrals remain.

The 500-point enrollment bonus is granted once per Affiliate account and never repeats on rejoin.

11. CHANGES AND TERMINATION

NearbyGrid may change these Terms, the Points values, the qualifying plans, the Affiliate Unlimited benefit, the redemption program, or the program itself at any time. Material changes take effect on the date stated, and NearbyGrid may require you to accept the updated Terms before you can continue creating affiliate links, earning new Points, or receiving the Affiliate Unlimited benefit. If you do not agree to a change, stop using the program. NearbyGrid may suspend or terminate your enrollment for any violation of these Terms.

If your NearbyGrid account is suspended or banned, or your enrollment is terminated for violating these Terms or the NearbyGrid Terms of Service, you forfeit all unredeemed Points and any pending awards, your affiliate links and code stop earning, the Affiliate Unlimited benefit ends, and you may not rejoin the program without NearbyGrid's permission. Voluntary withdrawal under Section 10 is not a ban or termination.

12. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the United States and the State of Colorado, without regard to conflict of law rules. To the fullest extent permitted by applicable law, any dispute arising out of or relating to the Affiliate Program or these Terms must be brought exclusively in the state courts located in Denver County, Colorado or the United States District Court for the District of Colorado, and you and NearbyGrid each consent to the personal jurisdiction of and venue in those courts. Nothing in these Terms waives statutory consumer rights that cannot lawfully be waived. If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and NearbyGrid regarding the Affiliate Program and control over conflicting general NearbyGrid terms only with respect to the Affiliate Program.
