NearbyGrid is operated by Solstice Labs LLC (“NearbyGrid,” “we,” “us”). These Terms govern your access to NearbyGrid's mobile applications, websites, and related services (the “Service”). By selecting “I agree” when creating an account, or by separately accepting a later version after it becomes effective, you enter a binding agreement with Solstice Labs LLC and acknowledge the Privacy Policy presented with these Terms. If you do not agree, do not create or use an account.
If you decline a later version, ordinary use of the Service may become unavailable. NearbyGrid will not require acceptance of that later version solely to sign out; report a safety concern; block an account; export or delete your account; stop optional location sharing or communications; revoke private-content access; resolve or cancel an active safety plan; or reach applicable app-store subscription-management controls. The exact controls available without acceptance may be limited to those safety, privacy, deletion, cancellation, and account-recovery purposes and do not reopen ordinary Service access.
You must be at least 18 years old and legally able to enter this agreement. The Service is offered only to people located in the United States, Canada outside Quebec, or New Zealand, in locations where NearbyGrid has made the Service available as shown on nearbygrid.com/availability. You represent that your account information, including your date of birth and residence information, is truthful and current.
NearbyGrid may use age-assurance or account-integrity tools, but no badge, automated review, or other feature guarantees a person's age, identity, background, intentions, or conduct. We do not conduct criminal background checks on all members. We may refuse, restrict, or end access when we reasonably believe a member is underage, ineligible, unsafe, fraudulent, or violating these Terms.
Canadian users outside Quebec: nothing in these Terms limits non-waivable rights under applicable Canadian federal or provincial consumer law. NearbyGrid local features are available only in the provinces and cities shown on the availability page. Store access or account waitlist access does not promise that local features are available. Prices, taxes, renewals, cancellation, refunds, dispute terms, and liability limits apply only to the extent permitted by applicable law. New Zealand users: nothing in these Terms limits non-waivable rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
Accounts are personal, nontransferable, and limited to the account type and authority shown in the Service. Keep your credentials and devices secure. You are responsible for activity authorized through your account, except to the extent caused by NearbyGrid's failure to use legally required care. Promptly report suspected unauthorized use. Do not sell, lend, share, or transfer an account; impersonate another person; create an account for someone else without authority; or create a new account after suspension or termination unless NearbyGrid expressly authorizes it.
NearbyGrid helps adults discover people, groups, events, and conversations. NearbyGrid is not a dating broker, emergency service, background-check provider, identity-verification service, health provider, or guarantor of any member. Members, organizers, venues, events, links, and transactions may be inaccurate, unsafe, canceled, or fraudulent. Use judgment, protect your precise location, meet in public, tell someone your plans, and contact 911 or appropriate emergency services when needed. You decide whether and how to communicate with or meet another member and assume the ordinary risks of those voluntary interactions, subject to rights that cannot lawfully be waived.
You retain ownership of content you submit. You grant NearbyGrid a nonexclusive, worldwide, royalty-free license to receive, host, store, encrypt, copy, format, transcode, transmit, and display that content only as reasonably needed to operate the features and audience choices you select; maintain security and integrity; prevent fraud and abuse; perform automated and human moderation; investigate reports; enforce these Terms; preserve evidence; comply with valid legal process; and protect members, NearbyGrid, and the public. This license permits NearbyGrid to use service providers for those limited purposes under applicable contractual and security restrictions.
The ordinary display portion of this license ends when the content is deleted from the feature, subject to reasonable operational deletion time. Limited copies may remain in backups, report or moderation evidence, security and fraud records, financial records, legal holds, child-safety preservation, and other records that law or legitimate safety needs require. Those retained copies are not licensed for ordinary member display.
This license does not permit NearbyGrid to sell your content, use it in public advertising without separate permission, or train a NearbyGrid or third-party general-purpose artificial-intelligence model on it. NearbyGrid may use privacy-minimized operational measurements and moderation outcomes to test and improve the safety and reliability of the Service, without using member photos or message content to train a general-purpose model.
You represent that you own or have every right needed for the content and audience you select, and that your content and its use through the Service do not violate law, privacy, publicity, intellectual-property, contractual, or other rights.
Public profiles, public photos, group and event pages, covers, announcements, and public or broadcast surfaces must be suitable for a general adult audience. They may not include nudity, explicit sexual activity, pornography, intimate imagery, illegal content, hidden recordings, personal identification documents, nonconsensual imagery, or content centered on a minor. Public profile photos must depict you or ordinary-life content you are authorized to share. Group and event covers may use authorized flyers, logos, venues, activities, and event imagery subject to the Community Guidelines.
Private albums and direct photo messages are access-controlled adult features, not public spaces. Intimate images must depict only the adult account holder who uploads them. You represent for each intimate upload that you are the depicted person, you were an adult when it was created, you voluntarily created and uploaded it, and the selected audience may lawfully receive it. Do not upload another person's intimate content, even if that person previously sent it to you. Do not upload content involving a minor, coercion, incapacity, hidden recording, trafficking, exploitation, bestiality, sexual violence, nonconsensual deepfakes, sextortion, blackmail, or threats.
Album access is a revocable permission to view through the Service. It is not a transfer of ownership or permission to screenshot, record, download, copy, identify, expose, threaten, redistribute, or use the content outside the selected interaction. Recipients must honor revocation and deletion requests, but NearbyGrid cannot guarantee deletion of a copy another person made outside the Service. Private album access may not be sold, conditioned on payment to a member, or used for prostitution, escorting, compensated dating, commercial sex, or trafficking.
Private album and direct-photo uploads are not currently screened by the automated public-photo classifier at upload. They remain subject to these Terms, recipient reporting, restricted human review when reported, and legally required safety handling. “Private” describes member access controls; it does not mean content is exempt from reports, moderation, preservation, or lawful disclosure.

The Community Guidelines and Safety Policy provide additional examples and are incorporated into these Terms. A safety promise is binding only to the extent it accurately describes a feature or legal duty; no policy promises perfect prevention, detection, response, or member conduct.
NearbyGrid uses automated systems to review public profile photos and public group/event imagery for defined safety and suitability categories. Automated systems may approve, reject, delay, or refer an upload and can be wrong. They do not review every interaction or guarantee that approved content is safe, authentic, lawful, or suitable. NearbyGrid may also use narrow automated anti-spam and integrity tools. NearbyGrid does not routinely send ordinary private-message text to a generative-AI provider or have a person read each ordinary private message before delivery. Automated local rules may process message text before or after delivery to provide contact-information prompts and detect spam, scams, fraud, abuse, or repeated messages. Authorized personnel may review an exact reported message, restricted report evidence, or a narrowly retained safety sample when reasonably needed for review, appeal, abuse prevention, safety, or law.
Where an automated decision rejects content or contributes to an account restriction, NearbyGrid will provide an available reason category and a reasonable route to request human review, subject to security, child-safety, legal-hold, and abuse-prevention limits. Do not repeatedly upload prohibited or substantially identical content to probe or evade a safety system.
An optional selfie review may assess whether one image appears to show one adult person. It is not facial recognition, liveness proof, identity verification, a background check, or a guarantee of age. NearbyGrid does not use a new face-geometry or identity-matching system under this version of the Terms.
You may report eligible accounts and content through available report controls or our Safety contact. Blocking, unmatching, or removing a connection stops ordinary contact and private-album access; it does not require NearbyGrid to erase safety records or prevent a member from using a privacy-minimized report-history reference made available by the Service. A report-history reference may show only enough recognition information and eligible prior items to select a report target. It does not reopen messaging, live location, current profile access, a private album, or a blocked relationship.
NearbyGrid may preserve reported items, selected contextual records, account and relationship identifiers, timestamps, uploaded evidence, audit events, and action history for investigation, appeal, abuse prevention, legal process, or other legitimate safety purposes. We limit access to authorized personnel and service providers acting for safety, security, support, or legal purposes. We do not routinely identify the reporter or disclose report contents to the reported member, but reports are not absolutely confidential or anonymous. We may disclose limited information when reasonably necessary to investigate, protect people, address fraud or abuse, provide a legally appropriate process, or comply with law or valid legal process. We may decline to share information when doing so would expose another person, reveal safety tools, impair an investigation, or violate law.
NearbyGrid may remove content, reduce distribution, require verification, restrict features, suspend, terminate, preserve records, or refer a matter to law enforcement or NCMEC. Enforcement may consider severity, context, prior conduct, credible reports, safety risk, and legal obligations. Where appropriate, we provide notice and an appeal, but urgent safety actions, legal restrictions, and evidence-preservation duties may limit notice or access.
NearbyGrid prohibits nonconsensual intimate visual depictions, including realistic digital forgeries. A depicted person or authorized representative may use the public removal process listed on the Safety and Privacy pages without holding an account. For a valid request governed by the TAKE IT DOWN Act, NearbyGrid will remove or disable access to the reported depiction and make reasonable efforts regarding known identical copies within the legally required period.
NearbyGrid has zero tolerance for child sexual abuse and exploitation. If we obtain actual knowledge of apparent violations covered by federal reporting law, we report to NCMEC as required and preserve submitted and reasonably accessible material under restricted access for the legally required period. We do not promise immediate deletion where law requires secure preservation.
The Service may use device location for proximity features and may display an approximate, obfuscated location or distance. Obfuscation and visibility controls reduce risk but cannot make location inference impossible. Do not use the Service to locate, track, or surveil another person. NearbyGrid is not an emergency locator.
Paid mobile features are sold and billed by Apple or Google under the store terms presented at purchase. Subscriptions renew for the disclosed period unless canceled through the applicable store before renewal. Deleting a NearbyGrid account does not itself cancel an app-store subscription. Refunds and cancellations are handled under applicable law and the store's rules. Price, duration, trial, renewal, and feature information shown at purchase controls over conflicting promotional copy. Signup promotions, such as Unlimited or Plus free for a set period or for life, are limited to one per person. Deleting an account and creating a new one does not restart eligibility. To enforce this, NearbyGrid keeps a keyed hash of the email address and phone number used to claim a promotion after the account is deleted, and the hash cannot be turned back into the address or number. NearbyGrid may change future prices or features with legally required notice.
The Affiliate Program is optional and subject to separate current Affiliate Program Terms. No Affiliate changes your price or receives your identity, email, private content, or exact purchase. Points arise only under the separate terms after qualifying verified paid periods and may be reversed for refunds, chargebacks, fraud, or error. Affiliate links and codes must be disclosed as required by law and may not be used for spam, deceptive endorsements, or self-referral.
NearbyGrid and its licensors own the Service, software, brand, and content other than member content. No rights are granted except the limited right to use the Service under these Terms. If you believe content infringes copyright, send a compliant notice to our designated agent at [email protected] or the mailing address below. A notice should identify the work and material, provide contact information and a signature, and include the statutory good-faith and accuracy statements. We may remove material and terminate repeat infringers. Counter-notices may be sent to the same agent.
Maps, authentication, payments, links, venues, and other third-party services have their own terms and practices. NearbyGrid is not responsible for a third party's independent service. Apple and Google are not parties to these Terms, do not provide maintenance or support for NearbyGrid, and have no warranty obligation except as their store terms require. To the extent a store's mandatory terms conflict with this section, those mandatory terms control.
You may stop using the Service and use available account-deletion controls. NearbyGrid may change, suspend, or discontinue a feature and may restrict or terminate an account consistent with these Terms and law. Termination ends ordinary access but does not erase accrued payment obligations, ownership, restricted evidence, legal rights, or provisions that by nature survive. Sections on content rights, safety records, purchases, disclaimers, liability, disputes, and miscellaneous terms survive as applicable.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NEARBYGRID DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION; THAT ANY MEMBER OR CONTENT IS SAFE, ACCURATE, AUTHENTIC, OR LAWFUL; OR THAT MODERATION, REPORTING, LOCATION OBFUSCATION, VERIFICATION, OR SECURITY TOOLS WILL PREVENT EVERY HARM. THIS SECTION DOES NOT EXCLUDE A WARRANTY OR RIGHT THAT APPLICABLE LAW DOES NOT ALLOW US TO EXCLUDE.
TO THE FULLEST EXTENT PERMITTED BY LAW, NEARBYGRID AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM THE SERVICE. NEARBYGRID'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID NEARBYGRID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT OR US $100.
THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, AND DO NOT LIMIT RIGHTS OR REMEDIES FOR NEARBYGRID'S FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR OTHER CONDUCT TO THE EXTENT A LIMIT IS PROHIBITED. SOME STATES DO NOT ALLOW CERTAIN LIMITS, SO PART OF THIS SECTION MAY NOT APPLY TO YOU.
To the extent permitted by law, you will defend, indemnify, and hold harmless NearbyGrid and its affiliates, officers, employees, and service providers from third-party claims, losses, and reasonable costs arising from your content, your unlawful conduct, your material breach of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim was caused by NearbyGrid's own unlawful conduct or where applicable law prohibits the obligation. NearbyGrid may control the defense and settlement, and will not settle a claim imposing a nonmonetary obligation on you without consent that will not be unreasonably withheld.
These Terms and disputes arising out of or relating to the Service are governed by Colorado law and applicable federal law, without regard to conflict-of-laws principles. Except to the extent a nonwaivable law requires otherwise, any lawsuit or court proceeding must be brought exclusively in the state courts located in Denver County, Colorado, or the United States District Court for the District of Colorado, and each party consents to personal jurisdiction and venue there and waives an objection based on inconvenient forum.
Nothing in these Terms waives a consumer protection or remedy that your home state makes nonwaivable. The parties intend the Colorado-law and Colorado-forum provisions to apply to the maximum lawful extent. If a court finds a narrow part unenforceable, it should enforce the remainder and modify or sever only the minimum necessary part.
THESE TERMS DO NOT INCLUDE AN ARBITRATION, CLASS-ACTION-WAIVER, OR JURY-WAIVER PROGRAM. ADDING ONE REQUIRES A SEPARATE PRODUCT DECISION, COUNSEL REVIEW, ASSENT/OPT-OUT DESIGN, AND CLAUDE DUAL CONTROL; IT MUST NOT BE INSERTED SILENTLY DURING EDITING.
These Terms, the Privacy Policy, the Community Guidelines, the Safety Policy, and any feature-specific supplement you accept are the agreement for their subjects. A feature-specific supplement controls only for its subject. Failure to enforce a term is not a waiver. You may not assign this agreement without consent; NearbyGrid may assign it with a merger, reorganization, sale, or transfer of the Service subject to applicable law. Headings are for convenience. Electronic records and signatures have the same effect as paper records and signatures.
For a material change, NearbyGrid will provide legally required notice and identify the new version and effective date. Where affirmative acceptance is required, account features may remain blocked until you accept; legal review, support, sign-out, and available deletion controls remain accessible. Urgent legal, safety, security, or fraud changes may use a shorter lawful notice period. Continued use alone will not be treated as consent where law requires a separate affirmative act.
